A Certified Professional Employer Organization (CPEO) is a PEO that has met specific IRS standards under the 2014 Small Business Efficiency Act (SBEA) and is listed on the IRS public CPEO list. Certification requires demonstrated financial stability, tax compliance, organizational structure, audited financials, and an ongoing surety bond.
The practical buyer benefit of working with a CPEO is meaningful: under SBEA, the CPEO assumes sole liability for federal employment taxes (FICA, FUTA, federal income tax withholding) on wages paid under the co-employment arrangement. If the CPEO fails to remit those taxes, the IRS pursues the CPEO — not the client — for collection. This is fundamentally different from non-certified PEOs, where the client retains joint and several liability with the PEO for federal employment taxes.
